Free Ticket Thursday Official Rules
The Free Ticket Thursday Giveaway (“Giveaway”) is sponsored by the Portland Mercury, a publication of Noisy Creek, Inc. (“Sponsor”).
Entry in the Giveaway constitutes your full and unconditional acceptance of these Official Rules.
NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.
1. Eligibility
The Giveaway is open to legal residents of the United States who are at least eighteen (18) years of age at the time of entry. Employees, officers, directors, contractors, and immediate family members of Sponsor and its affiliated entities are not eligible to enter.
Void where prohibited by law.
2. Entry Period
Each Giveaway begins at the time specified on the applicable Giveaway entry page and ends at the deadline stated on that page (“Entry Period”). All entries must be received by 11:59 p.m. PT on the final day of the Entry Period.
3. How to Enter
To enter, complete and submit the online entry form during the Entry Period, including your first name, last name, and a valid email address.
Limit one (1) entry per person per Giveaway. Multiple entries, automated entries, or entries submitted through fraudulent means may be disqualified.
By entering, participants acknowledge that they are signing up to receive Portland Mercury email communications and may unsubscribe from such communications at any time by using the unsubscribe link contained in those emails.
4. Winner Selection and Notification
Winner(s) will be selected at random from all eligible entries received during the Entry Period. The Sponsor will choose a random drawing app to choose the winner(s).
The odds of winning depend on the number of eligible entries received.
Sponsor reserves the right to cancel, suspend, or modify the Giveaway if circumstances beyond Sponsor’s reasonable control impair the administration, security, fairness, or proper operation of the Giveaway. In the event of cancellation, Sponsor may, in its discretion, award the prize(s) from among eligible entries received prior to cancellation.
Potential winner(s) will be notified by email using the email address provided at entry. If a potential winner cannot be contacted, fails to respond within forty-eight (48) hours, is determined to be ineligible, or declines the prize, Sponsor may (but is not required to) select an alternate winner.
Sponsor’s decisions regarding all aspects of the Giveaway are final and binding.
5. Prize
The prize will consist of the event tickets described on the applicable Giveaway entry page.
Prizes may not be redeemed for cash and may not be substituted except at Sponsor’s sole discretion.
Sponsor is not responsible for canceled, postponed, rescheduled, or modified events. If an event is canceled or a prize becomes unavailable, Sponsor reserves the right to substitute a prize of equal or greater value or to cancel the Giveaway.
Any and all prize-related expenses, including without limitation any and all federal, state, and/or local taxes, shall be the sole responsibility of the winner.
6. Release and Limitation of Liability
You agree to release and hold harmless Sponsor, its affiliates, officers, directors, employees, contractors, prize providers, and event organizers from any and all claims, damages, losses, liabilities, costs, or expenses arising out of participation in the Giveaway or acceptance, use, or misuse of any prize.
Sponsor is not responsible for lost, late, incomplete, misdirected, corrupted, or technically defective entries; technical malfunctions; internet failures; or any errors that may affect administration of the Giveaway.
7. Privacy
Information collected in connection with the Giveaway is subject to Sponsor’s applicable privacy policy and will be used to administer the Giveaway and communicate with entrants.
8. Governing Law
These Official Rules, and participants’ participation in the Giveaway, shall be governed by and construed in accordance with the laws of the State of Washington, without regard to conflict-of-law principles.
9. Dispute Resolution and Time Period
We want to address concerns without formal proceedings whenever possible. Before initiating arbitration or court proceedings, you agree to contact us at business@noisycreek.com and provide a brief description of the issue. We will work with you in good faith to try to resolve the matter informally.
YOU AGREE THAT ANY LEGAL ACTION OR PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
If we are unable to resolve a dispute informally, you agree that any dispute, claim, or controversy arising out of or relating to these Official Rules or the Giveaway will be resolved through final and binding individual arbitration, rather than in court, except as described herein. The arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. Arbitration may be conducted remotely (such as by video conference or written submissions), unless an in-person hearing is requested by either party. Arbitration fees and costs will be governed by the AAA Consumer Arbitration Rules. We will not require you to pay arbitration fees that are higher than the filing fees you would pay to bring a claim in state or federal court.
You may opt out of this arbitration agreement within thirty (30) days of first accepting these Official Rules by sending an email to business@noisycreek.com with the subject line “ARBITRATION OPT-OUT” and including your name and contact information. If you opt out of arbitration in a timely manner, any legal action arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in King County, Washington, and you consent to the personal jurisdiction and venue of such courts.
Either party may bring an individual claim in small claims court, if eligible. In addition, either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights.
ANY CLAIM YOU MAY HAVE RELATING TO THESE TERMS OR THE SITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF SUCH CLAIM ARISES; OTHERWISE, SUCH CLAIM IS PERMANENTLY BARRED.
10. Waiver and Severability
No waiver is effective, unless explicitly set forth in writing and signed by us.
If any provision of these Official Rules is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such invalidity, illegality, or unenforceability will not affect, or render unenforceable, any other provision of these Official Rules in any other jurisdiction.
11. Entire Agreement
These Official Rules, along with the Terms of Use and Privacy Policy governing the Portland Mercury’s site, constitute the sole and entire agreement between you and the Sponsor with respect to the Giveaway. All prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, are superseded.
